These Terms & Conditions (“Terms”) govern the access to and use of the Dovinio digital platform (the “Platform”).

1. Platform Operator and Legal Identity

1.1 The Platform is operated by:

1.2 INNO HOLDING & CONSULTANCY SERVICES SRL is a company incorporated and existing under the laws of Romania.

 

2. Acceptance and Binding Effect

2.1 By accessing, browsing, registering on, or using the Platform in any manner, you (“User”) acknowledge that you have read, understood, and agree to be legally bound by these Terms.

2.2 If you do not agree to these Terms in full, you must immediately cease using the Platform.

2.3 These Terms constitute a legally binding agreement between the User and the Platform Operator solely with respect to the use of the Platform technology.

 

3. Nature of the Platform

3.1 Dovinio is a technology-only, multi-vendor, multi-tenant digital infrastructure.

3.2 The Platform provides software tools that enable independent third parties (“Vendors”) to present, offer, resell, or pool products and/or services.

3.3 Dovinio does not:

sell or resell products or services;

  • act as a broker, agent, intermediary, or representative;
  • conclude contracts on behalf of Users or Vendors;
  • provide payment services or handle customer funds.

 

3.4 Any contract for products or services is concluded exclusively between the Vendor and the Customer, without involvement of Dovinio as a contractual party.

 

4. User Categories

4.1 The Platform may be used by:

  • visitors;
  • registered users;
  • Vendors;
  • sub-vendors;
  • resellers;
  • white-label partners;
  • API users.


4.2 Each User category acts independently and bears its own legal responsibility.

 

5. Vendor Status and Independence

5.1 Vendors operate as independent legal and economic entities.

5.2 No relationship of employment, agency, partnership, franchise, joint venture, or representation exists between Dovinio and any Vendor.

5.3 Vendors act exclusively in their own name and on their own account.

 

6. Vendor Responsibilities

6.1 Vendors are solely and fully responsible for:

  • the legality, accuracy, and completeness of all listings, content, and representations;
  • pricing, taxes, VAT, customs duties, and other fiscal obligations;
  • issuing invoices and accounting compliance;
  • fulfillment, delivery, performance, refunds, returns, warranties, and after-sales obligations;
  • obtaining and maintaining all licenses, permits, and insurances required by law;
  • compliance with all applicable local, national, and international laws.


6.2 Dovinio performs no verification, monitoring, or validation of Vendor content, conduct, or compliance.

 

7. Customers and End Users

7.1 Customers contract directly with Vendors and not with Dovinio.

7.2 Any claims, disputes, refunds, or complaints must be addressed exclusively to the relevant Vendor.

7.3 Dovinio bears no responsibility for Vendor performance or non-performance.

 

8. Payments and Fees

8.1 All payments are processed exclusively through external third-party payment service providers.

8.2 Dovinio is not a payment institution and does not store or process payment card data.

8.3 Dovinio may charge Vendors a technology usage fee, which is non-refundable unless expressly stated otherwise.

8.4 Payment disputes, chargebacks, or refunds are governed by the policies of the payment provider and the agreement between Vendor and Customer.

 

9. Product Pools and Reselling

9.1 Product pools remain the property and responsibility of the originating Vendor.

9.2 Resellers acquire no ownership rights, intellectual property rights, or claims over pooled products or services.

9.3 Dovinio does not guarantee:

  • sales volume;
  • visibility;
  • ranking;
  • profitability;
  • commercial success.

 

10. Platform Availability

10.1 The Platform is provided on an “as available” and “as is” basis.

10.2 Dovinio does not guarantee uninterrupted, error-free, or secure access at all times.

10.3 Maintenance, updates, or technical issues may result in temporary unavailability.

 

11. Prohibited Use

11.1 Users must not:

  • use the Platform for illegal activities;
  • publish misleading, fraudulent, or unlawful content;
  • infringe intellectual property rights;
  • attempt to bypass fees, technical safeguards, or security measures;
  • interfere with platform integrity or other users.

 

12. Suspension and Termination

12.1 Dovinio reserves the right to suspend or terminate access, with immediate effect, if:

  • these Terms are violated;
  • applicable laws are breached;
  • platform security or integrity is threatened;
  • fraudulent or abusive behavior is suspected.


12.2 No compensation or damages shall be payable in connection with such suspension or termination.

 

13. Intellectual Property

13.1 All Platform software, design, structure, and underlying technology are the exclusive property of Dovinio or its licensors.

13.2 Users receive a limited, non-exclusive, non-transferable right to use the Platform solely in accordance with these Terms.

 

14. Liability Limitation

14.1 To the maximum extent permitted by law, Dovinio shall be liable only for damages caused by intent or gross negligence.

14.2 Dovinio shall not be liable for:

  • indirect or consequential damages;
  • loss of profit, revenue, or data;
  • actions or omissions of Vendors or third parties;
  • payment provider failures;
  • force majeure events.

 

15. Indemnification

15.1 Users and Vendors agree to indemnify and hold harmless Dovinio from any claims, damages, liabilities, costs, or expenses arising from their use of the Platform or breach of these Terms.

 

16. International Use

16.1 The Platform is available globally.

16.2 Users are solely responsible for compliance with local laws, regulations, export controls, and tax obligations applicable in their jurisdiction.

 

17. Amendments

17.1 Dovinio may amend these Terms at any time.

17.2 Continued use of the Platform after publication of updated Terms constitutes acceptance of the amended Terms.

 

18. Governing Law and Jurisdiction

18.1 These Terms are governed by the laws of Romania.

18.2 The competent courts of Bucharest, Romania shall have exclusive jurisdiction, subject to mandatory consumer protection laws.

 

19. Severability

19.1 If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

 

20. Entire Agreement

20.1 These Terms constitute the entire agreement governing the use of the Platform and supersede all prior understandings related thereto.
